As a Legal Counsel – Commercial, you will be a key member of the Legal team, responsible for providing legal guidance and support on a wide range of commercial matters. You will work closely with sales, product, and other business teams to draft, negotiate, and review commercial agreements, ensuring compliance with legal requirements and company policies. What you’ll do:
- Draft, review, and negotiate a broad range of commercial agreements, including inbound and outbound SaaS agreements, channel partner agreements, professional services agreements, and vendor agreements.
- Advise sales, product, and other internal teams on legal risks, business strategies, and other issues related to commercial transactions and product development.
- Act as a legal business partner and trusted advisor to internal stakeholders, ensuring legal compliance and risk mitigation while enabling business growth.
- Support the continuous improvement of standard form agreements, legal processes, and self-service tools.
- Participate in special projects as needed to support legal team initiatives.
- Collaborate with other legal team members on various legal matters.
What you’ll bring:
- JD from an accredited law school and active bar membership in at least one US jurisdiction or equivalent in Canada.
- 5-8 years of relevant legal experience, with a focus on commercial contracts and technology transactions, preferably in-house at a SaaS or technology company.
- Strong understanding of contract law, intellectual property, data privacy (e.g., GDPR, CCPA), and open-source licensing.
- Excellent drafting, negotiation, and communication skills, with the ability to explain complex legal concepts to non-legal stakeholders.
- Ability to work independently, manage multiple priorities, and thrive in a fast-paced, dynamic environment.
- Demonstrated ability to be a flexible and adaptive team member, capable of contributing to various legal tasks and projects.
